About the role
The Corporate Governance Specialist safeguards the governance of everything that passes through ZAD’s Executive Office: the policies and procedures the company operates under, the authorities under which decisions are taken, and the records of what the Executives decided and why. The role owns the governance framework, the corporate policy lifecycle and the document control standards applied to material produced or received by the CEO and the Deputy CEOs.
Key responsibilities
- Serve as Corporate Governance for the Executive Office, preparing and circulating executive and committee agendas, papers and meeting notices.
- Write, sign and archive minutes of committee meetings, ensuring accurate recording of deliberations and voting.
- Maintain the special meeting minutes register in serial order, tracking place, date, and times of each meeting.
- Provide executive members with prompt access to minutes, information and records, and track resolutions and action items to closure.
- Maintain the master policy register, corporate policy template and manage the policy lifecycle from drafting through scheduled review.
- Own and enforce the Delegation of Authority matrix, confirming approvals for decisions, contracts and payments and preserving the approval trail.
- Set and enforce document control standards for all material produced or received by the executives, operating the correspondence register.
- Maintain the corporate records repository, including licences, commercial registrations, board resolutions, powers of attorney and authorised signatory lists.
- Prepare the annual corporate governance report, submit follow‑up forms and file governance and audit committee reports.
- Administer the conflict of interest policy and related‑party transaction process, supporting committee meetings.
Required profile
- Bachelor degree in Law, Business Administration, Finance, Accounting or a related field.
- At least five years of experience in corporate governance, board secretariat, company secretarial or executive office roles.
- Experience in the banking or investment sector, preferably with a CMA‑licensed institution or a bank supervised by the Central Bank of Kuwait.
- Proven ability to prepare board and committee papers and write minutes that meet regulatory and audit standards.
- Experience maintaining a policy framework and a delegation of authority matrix across multiple departments.
- Background in supporting regulatory filings and general assembly meetings.
- Professional certification in corporate governance or company secretarial practice is strongly preferred.
- Strong proficiency in both Arabic and English.
